End User Licence Agreement

This document was written by the engineering team to describe accurately how

the software behaves and what is intended commercially. It is a starting

point for a solicitor, not a substitute for one. Liability caps, warranty

disclaimers, governing law and consumer-rights carve-outs vary by

jurisdiction and must be reviewed before the product is sold. Tracked as

Phase 1 of Docs/commercial-readiness.md.

This Agreement is between you and ACE Global Pro ("we", "us") and governs your

use of ACE Aria Media Player ("the Software"). By installing or using the

Software you accept it. If you do not accept it, do not install or use the

Software.

1. Licence granted

Subject to this Agreement and to your holding a valid licence key, we grant you

a non-exclusive, non-transferable licence to install and use the Software:

You may install the Software on any Mac you own or control, for your own use.

2. What you may not do

You may not: resell, rent, sublicense or redistribute the Software; share your

licence key; circumvent or attempt to circumvent licence validation; reverse

engineer, decompile or disassemble the Software except where that right cannot

lawfully be excluded; or remove any proprietary notice.

3. Your content

The Software is a tool for playing and converting media you already have. You

retain all rights in your files. We claim no rights in them and, as described

in the Privacy Policy, never receive them.

**You are responsible for having the right to use the media you play, convert,

or share through the Software**, including through the Phone & iPad feature.

The Software is not a means of obtaining content and includes no facility for

downloading, extracting, or circumventing protection on media you do not

already possess.

4. Third-party software and services

The Software can download FFmpeg from its publisher at your request; FFmpeg is

free software under its own licence and is not distributed by us. Optional

subtitle search uses OpenSubtitles under your own account and key. See

THIRD-PARTY-NOTICES.md. We are not responsible for third-party software or

services, their availability, or their terms.

5. The Secure Vault — read this one

The Secure Vault uses macOS AES-256 encryption with a password generated on

your Mac and held in your Keychain.

We cannot recover your vault password, and neither can Apple. If you lose

both the password and access to your Keychain, the contents of your vault are

permanently and irreversibly unreadable. This is a property of the encryption,

not a limitation we can lift.

You are solely responsible for keeping an offline copy of the password (Settings

→ Reveal Vault Recovery Password) and for backing up the vault. **To the fullest

extent permitted by law, we accept no liability for data lost from the Secure

Vault.**

6. Backups and data loss

The Software modifies files when you ask it to (Convert, Trim, Join, moving

files into the vault). Conversions write new files and originals are archived

rather than deleted, but you are responsible for maintaining backups. Keep

current backups of anything you cannot afford to lose.

7. Updates

We may provide updates at our discretion. Updates are governed by this

Agreement unless accompanied by different terms. We do not guarantee that any

particular feature will be maintained indefinitely.

8. Warranty disclaimer

To the fullest extent permitted by applicable law, the Software is provided

"as is" and "as available", without warranty of any kind, express or implied,

including implied warranties of merchantability, fitness for a particular

purpose and non-infringement. We do not warrant that the Software will be

uninterrupted, error-free, or compatible with any particular hardware or media

format.

9. Limitation of liability

To the fullest extent permitted by applicable law, our total aggregate

liability arising out of or relating to the Software is limited to the amount

you paid for it in the twelve months preceding the claim. We are not liable for

indirect, incidental, special, consequential or punitive damages, or for lost

data, lost profits, or business interruption, even if advised of the

possibility.

**Nothing in this Agreement excludes or limits liability that cannot lawfully

be excluded or limited**, including liability for death or personal injury

caused by negligence, for fraud, or under mandatory consumer-protection law.

If you are a consumer, you have statutory rights that this Agreement does not

affect.

10. Termination

This licence terminates automatically if you materially breach it, and (for the

Membership edition) when your ACE Membership lapses. On termination you must

stop using the Software and remove it. Sections 3, 5, 6, 8, 9 and 11 survive.

11. Governing law

12. Entire agreement

This Agreement, with the Privacy Policy and Third-Party Notices, is the entire

agreement between you and us regarding the Software. If any provision is held

unenforceable, the rest remains in effect.
