Written by the engineering team to describe accurately how the software
behaves and what is intended commercially — a starting point for a
solicitor, not a substitute for one. Liability caps, warranty disclaimers,
governing law and consumer-rights carve-outs vary by jurisdiction and must
be reviewed before reliance. Follows the pattern of ACE Global Utilities
LEGAL-001.
This Agreement is between you and ACE Global Pro ("we", "us") and governs your
use of ACE Creator Studio ("the Software"). By installing or using the
Software you accept it. If you do not accept it, do not install or use the
Software.
Trial. You may install the Software and use it in full, without payment,
for 7 days from first run. No account and no card are required for the
trial.
Licence. Subject to this Agreement and to your holding a valid licence
key, we grant you a non-exclusive, non-transferable licence to use the
Software on up to two Macs you own or control, for your own use. The
purchase is one-off: the Software keeps working perpetually for the versions
released during your included 12 months of updates; renewing after that is
optional and only affects access to new versions.
You may not: resell, rent, sublicense or redistribute the Software; share your
licence key; circumvent or attempt to circumvent licence validation or the
trial; reverse engineer, decompile or disassemble the Software except where
that right cannot lawfully be excluded; or remove any proprietary notice.
The Software is a local AI studio: it generates images, text, speech and video
on your own hardware, from prompts and materials you supply, using models
you choose to install. You retain all rights in your prompts and in the
outputs you create, to the extent we hold any such rights; we claim none and,
as described in the Privacy Policy, never receive them.
You are responsible for what you create and how you use it, including
compliance with the laws that apply to you and with the licence terms of the
models you install. AI models can produce inaccurate, biased or unwanted
output; review anything you rely on or publish.
At your request, first-run setup and the model picker download inference
engines and models from their own publishers (among others: Stable Diffusion
runtimes, llama.cpp-family engines, whisper.cpp, TTS engines, ffmpeg). Each is
software or a model under its own licence, obtained from its publisher,
and not distributed by us. The in-app About panel carries the open-source
acknowledgements. We are not responsible for third-party software, models,
their availability, or their terms. The update mechanism (Sparkle) is bundled
and covered by the same acknowledgements.
Licence keys are issued and validated by the ACE Platform. Activation binds
the licence to a device seat; the app holds a signed token locally and
refreshes it periodically. See the Privacy Policy for exactly what is sent
(it is: the key, a device identifier, and nothing else).
The Software is provided "as is", without warranty of any kind, to the
maximum extent permitted by law. To the same extent, our total liability
arising out of or relating to the Software is limited to the amount you paid
for it. Nothing in this Agreement excludes liability that cannot lawfully be
excluded.
This licence ends automatically if you materially breach it. On termination
you must stop using the Software; sections 3, 6 and 8 survive.
This Agreement is the entire agreement about the Software. If a term is held
